DIRECTIVE AND DECREE ON WHISTLEBLOWING

Directive 2019/1937/EU and the decree transposing it into Italian law (Legislative. Decree. 24/2023), regulate the PROTECTION OF INDIVIDUALS WHO DENOUNCE VIOLATIONS OF UNION LAW OR NATIONAL REGULATORY PROVISIONS.

WHISTLEBLOWING is a system of reporting by a (whistleblower), who may be an employee or a third party, who intends to report violations of which he or she has become aware during his or her work.

Legislative. Decree. 24/2023 governs the protection of people who report VIOLATIONS (…conduct, acts or omissions that undermine the public interest or the integrity of the public administration or a private entity…) of national or European Union regulations.

WHAT TO REPORT:

ILLEGAL ACTS that may be committed in the context of the application of the laws of the European Union and Italy and that may harm public or private collective interests (… public contracts, consumer protection, frauds, bribery, EU budget fraud, etc, …)

WHAT IS NOT RELEVANT TO REPORT:

Do NOT fall within the scope of Legislative. Decree. 24/2023 the report of mere rumours or "hearsay" as well as complaints, grievances of a personal nature of the whistleblower or his or her claims and which relate exclusively to his or her individual employment relationships.

WHAT THE REPORTS MUST CONTAIN:

Reports must be detailed, i.e. the account of the facts, events, or circumstances (constituting the founding elements of the alleged or potential violation),must be made with a sufficient degree of detail to allow the identification of the elements useful for the verification of the merits of the report.

WHO FOLLOWS UP THE VIOLATION REPORT:

CAMS S.r.l. has entrusted an internal office with the management of the whistleblowing channel, which carries out interface activities with the whistleblower as well as information-training activities for people who have a working relationship with the company. The RESPONSIBLE FOR INTERNAL WHISTLEBLOWING has a duty of confidentiality regarding the identity of the whistleblower, the subject of the report and the name of the person reported; it operates through internal procedures prepared and approved by the Chairman of the Board of Directors of CAMS S.r.l.
